Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by SY-g0 Labs ("we," "our," or "us"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.

2. Services Description

SY-g0 Labs provides the following services:

• SAP and Oracle ERP implementation and consulting services
• MVP (Minimum Viable Product) development services
• Technology consulting and software development
• Related professional services as agreed upon in individual service agreements

The specific scope, deliverables, timelines, and pricing for each engagement will be detailed in separate service agreements or statements of work.

3. User Responsibilities

When using our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Comply with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose
• Not interfere with or disrupt the services or servers
• Provide timely feedback and necessary access to resources as outlined in service agreements

4. Intellectual Property Rights

4.1 Our Property: All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and documentation, are the exclusive property of SY-g0 Labs and are protected by copyright, trademark, and other intellectual property laws.

4.2 Client Property: Any pre-existing intellectual property provided by the client remains the property of the client.

4.3 Deliverables: Ownership of deliverables and custom-developed work products will be specified in individual service agreements. Unless otherwise agreed in writing, you receive a license to use deliverables for your internal business purposes, while we retain ownership of our methodologies, tools, and frameworks.

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of the invoice date unless otherwise specified
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend services for non-payment
• All fees are exclusive of applicable taxes, which are your responsibility
• Refund policies, if any, will be outlined in individual service agreements

6. Confidentiality

We understand that in the course of providing services, we may have access to confidential information. We commit to maintaining the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law or as necessary to provide the agreed-upon services. Both parties agree to execute separate non-disclosure agreements (NDAs) as needed for specific engagements.

7. Limitation of Liability

To the maximum extent permitted by law:

• SY-g0 Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim in the 12 months preceding the claim
• We do not warrant that our services will be uninterrupted, error-free, or completely secure
• We are not responsible for any loss of data or business interruption resulting from your use of our services

8. Warranties and Disclaimers

8.1 Professional Standards: We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

8.2 Disclaimers: Except as expressly stated in individual service agreements, our services are provided "as is" and we disclaim all other warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination

Either party may terminate a service engagement:

• As specified in the individual service agreement
• For material breach by the other party, with 30 days written notice to cure
• Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, you remain obligated to pay for services rendered up to the termination date.

10. Indemnification

You agree to indemnify and hold harmless SY-g0 Labs, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these terms, or your violation of any rights of another party.

11. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiation.
